Terms of Service

1. Introduction

Welcome to Helptag ("we," "us," or "our"), a smart QR tag platform that enables individuals to share emergency contact information, medical data, personal identification details, and location information through scannable QR codes. Helptag is operated by Helptag Technologies and is accessible via our website and associated mobile platform.

By creating an account, purchasing credits, or otherwise accessing or using Helptag's website, applications, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Helptag.

Please read these Terms carefully in their entirety before registering or making any purchase. If you do not agree with any provision of these Terms, you must not access or use the Services.

These Terms are in addition to any other agreements you may have with Helptag, including our Privacy Policy and Refund Policy, both of which are incorporated by reference into these Terms.

2. Eligibility & User Accounts

2.1 Age Requirement

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to independently create an account and use the Services. Minors between the ages of 13 and 17 may only use the platform with verifiable consent from a parent or legal guardian, who assumes full responsibility for the minor's use of the Services. Children under the age of 13 are strictly prohibited from creating accounts or providing personal information to Helptag.

2.2 Account Registration

To access the core features of Helptag — including creating and managing QR tags, purchasing credits, and viewing scan logs — you must register for an account. You agree to provide accurate, complete, and up-to-date information at registration and to keep that information current throughout your use of the Services. Providing false or misleading registration information constitutes a violation of these Terms.

2.3 Account Security

You are solely and fully responsible for maintaining the confidentiality of your account credentials, including your password and any linked authentication tokens. You agree not to share your password with any third party or permit any other person to access your account. You must notify Helptag immediately at hello@helptag.org upon becoming aware of any unauthorized access or breach of security affecting your account. Helptag shall not be liable for any loss or damage arising from your failure to adequately secure your account credentials.

2.4 One Account Per Person

Each individual may maintain only one personal account. Creating duplicate, fraudulent, or impersonation accounts is prohibited. Helptag reserves the right to suspend or permanently delete any accounts found to be in violation of this policy without prior notice or liability.

2.5 Business & Organizational Accounts

Organizations, businesses, hospitals, schools, or institutions that use Helptag for commercial or operational purposes agree that the individual registering on behalf of the entity has full authority to bind that entity to these Terms. The entity and the individual registrant are jointly and severally responsible for compliance with these Terms.

2.6 Account Verification

Helptag may require you to verify your email address or phone number as a condition of account creation or continued use of certain features. Failure to complete verification may result in restricted access to the Services.

3. QR Credits & Subscription Plans

3.1 Credit-Based System

Helptag operates on a credit-based system. Each QR tag you create consumes one (1) QR credit. Credits are obtained by purchasing individual credit packs or by subscribing to a monthly or annual subscription plan that includes a recurring allotment of credits per billing cycle.

3.2 Credit Validity & Expiry

Credits have a validity period communicated at the time of purchase or plan selection. Credits that are not used within the stated validity window will automatically expire and are non-refundable. Subscription- based credits are renewed at the beginning of each billing cycle; unused credits from the previous cycle do not carry forward unless expressly stated in the plan description.

3.3 Subscription Plans

Helptag offers tiered subscription plans at varying price points, each with different credit allotments and platform feature access. Subscription pricing, included features, and credit volumes are subject to change. We will provide at least 30 days' advance notice to active subscribers before implementing any material changes to their existing plan. Existing subscribers may cancel at any time if they do not wish to continue on modified terms.

3.4 Credit Non-Transferability

QR credits are non-transferable. You may not sell, gift, lend, assign, or otherwise transfer credits to another Helptag account or to any third party. Any attempt to do so will result in forfeiture of the credits and may lead to account suspension.

3.5 QR Tag Lifespan & Renewal

Active QR tags may be tied to a validity period associated with your subscription or credit plan. Upon plan expiry or subscription cancellation, QR tags may be deactivated and become unscannable. Renewal options are available through your account dashboard prior to expiry. Helptag is not responsible for any disruption, loss of data, or emergency incidents resulting from an expired or deactivated QR tag.

3.6 Plan Downgrades

If you downgrade to a lower-tier plan and the number of active QR tags exceeds the new plan's allowance, you may be required to deactivate excess tags before the downgrade takes effect. Helptag will notify you of any such conflicts before the downgrade is processed.

4. Platform Usage Rules

4.1 Permitted Use

The Services are provided solely for lawful personal, professional, and commercial purposes consistent with these Terms. Permitted use cases include but are not limited to: creating QR tags for emergency medical identification, vehicle contact information, child or elder safety tags, lost-and-found item tagging, and professional contact cards.

4.2 Prohibited Activities

You agree not to engage in any of the following activities:

  • Use the Services to harass, threaten, stalk, defame, or harm any individual or group
  • Create QR tags containing false, misleading, fraudulent, or impersonated information
  • Attempt to gain unauthorized access to other users' accounts, QR tag data, or Helptag's systems
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the platform
  • Use bots, scrapers, crawlers, or automated tools to access or interact with the Services without Helptag's express written permission
  • Interfere with or disrupt the integrity or performance of the Services, servers, or networks connected to the platform
  • Impersonate any person or entity or misrepresent your affiliation with any individual or organization
  • Use the Services to distribute malware, spyware, ransomware, spam, or phishing content
  • Circumvent any security features, rate limits, IP blocks, or access controls implemented by Helptag
  • Violate any applicable local, state, national, or international law or regulation in connection with your use of the Services
  • Resell, sublicense, or commercially exploit the Services or any portion thereof without our written consent
  • Collect or harvest any personally identifiable information from other users without their express consent

4.3 Acceptable Content Standards

All information you enter into a QR tag — including names, contact numbers, email addresses, physical addresses, medical information, profile images, and custom fields — must be truthful, accurate, lawful, and must not violate the rights of any third party. You are solely responsible for reviewing and keeping your QR tag content accurate and current.

4.4 Rate Limits & Fair Use

Helptag enforces API rate limits to protect system stability for all users. Excessive requests that exceed reasonable use thresholds may result in temporary throttling or suspension of API access. Commercial integrations or high-volume use cases require a separate agreement with Helptag.

5. QR Tag Content & Your Responsibility

5.1 Accuracy of Information

You are solely responsible for the accuracy, completeness, timeliness, and currency of all information stored in your QR tags. Helptag makes no representations or warranties regarding user-supplied content and accepts no liability for decisions made — including by emergency responders, medical personnel, or bystanders — in reliance on such content. We strongly encourage you to review and update your QR tag information regularly, especially when your medical history, contact details, or address changes.

5.2 Sensitive Personal Information

You may voluntarily choose to include sensitive personal information in your QR tags, including but not limited to blood type, allergies, chronic medical conditions, disability status, or medications. By including such information, you expressly acknowledge and consent to that data being visible to all individuals who scan your QR tag (in the case of public tags) or to authenticated users (in the case of private tags). You accept all risks associated with the public disclosure of sensitive information and release Helptag from any liability arising from its display.

5.3 Third-Party Information

If you include personal information about third parties — such as emergency contacts, family members, or healthcare providers — you represent and warrant that you have obtained their express, informed consent to include and publish their personal information through Helptag. You agree to indemnify and hold Helptag harmless from any claims arising from your inclusion of third-party information without proper consent.

5.4 Profile Images

Any profile photograph or image you upload to your QR tag must depict you (the account holder) or a person for whom you are the authorized legal guardian. Images must not violate any third party's intellectual property rights, right of publicity, or right of privacy. Helptag reserves the right to remove any image that violates these requirements.

5.5 Content Moderation & Removal

Helptag reserves the right, at its sole discretion, to remove or modify any content that violates these Terms, applicable law, or our community standards. We may act on user reports or our own review. We will endeavor to notify you of any removal, but reserve the right to act without prior notice in cases of serious or urgent violations.

6. Emergency Use Disclaimer

6.1 Not a Substitute for Emergency Services

Helptag QR tags are designed to supplement — not replace — professional emergency response systems. In any life-threatening situation, always contact your local emergency services first. In India, dial 112. In the United States, dial 911. In the United Kingdom, dial 999. Do not rely solely on a Helptag QR tag to summon help in an emergency.

6.2 No Guarantee of Assistance

Helptag does not and cannot guarantee that your QR tag will be discovered, scanned, read, understood, or acted upon in any emergency. The effectiveness of your QR tag depends entirely on bystanders choosing to scan it, having a compatible smartphone with sufficient battery and network connectivity, and taking appropriate action upon viewing the information.

6.3 Physical & Technical Limitations

QR codes have inherent physical and technical limitations. A QR tag may fail to function if it is physically damaged, obscured, wet, or placed in a low-light environment. Scanning requires a functioning camera-enabled device and an active internet connection. Helptag accepts no liability for any failure of a QR tag to function under any circumstances, including emergency conditions.

6.4 Medical Information Disclaimer

Helptag is not a medical service provider, medical device, or clinical information system. Any medical information stored on your QR tag is provided solely at your discretion and is intended as supplementary context for first responders or bystanders. Emergency medical personnel must exercise independent professional judgment and are not obligated to rely on QR tag data for clinical decisions. Helptag expressly disclaims all liability for any medical outcomes, delays in treatment, or harm resulting from reliance on, inaccuracy of, or failure to access QR tag medical information.

6.5 Missing Persons & Child Safety

While Helptag is used by many families for child and elder safety, the platform should not be considered a GPS tracking or monitoring solution. Helptag does not provide real-time location tracking. If a child or vulnerable adult goes missing, contact local law enforcement immediately.

7. Intellectual Property

7.1 Helptag's Intellectual Property

All technology, software, source code, design elements, user interfaces, graphics, logos, trademarks, service marks, trade names, and original content created or owned by Helptag are the exclusive property of Helptag or its licensors and are protected by Indian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for the purposes described in these Terms. Nothing in these Terms grants you any ownership of or license to Helptag's intellectual property beyond what is expressly stated.

7.2 User Content License

You retain all intellectual property rights in the content, data, and information you submit, upload, or otherwise provide through the Services ("User Content"). By submitting User Content to Helptag, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to store, host, transmit, reproduce, display, and otherwise use your User Content solely to the extent necessary to provide, operate, improve, and maintain the Services. This license terminates when you delete your content or close your account, subject to any legal hold or retention obligations.

7.3 Representations About Your Content

By submitting User Content, you represent and warrant that (a) you own the content or have the necessary rights to grant us the license described above; (b) the content does not infringe any third-party intellectual property rights, right of privacy, or right of publicity; and (c) the content complies with these Terms and all applicable laws.

7.4 Feedback

If you provide Helptag with any feedback, suggestions, ideas, bug reports, feature requests, or other information ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Feedback for any purpose, without compensation or attribution to you.

8. Privacy & Data Handling

Your privacy is of fundamental importance to us. Our Privacy Policy describes in detail how we collect, use, store, share, and protect your personal information, as well as the choices and rights available to you. The Privacy Policy is incorporated into these Terms by reference and forms part of the binding agreement between you and Helptag.

By using the Services, you acknowledge that you have read and understood our Privacy Policy and consent to the collection and use of your personal information as described therein.

Special note: QR tags may contain sensitive personal and medical data. You should carefully consider the privacy implications before including such information on any QR tag, particularly public ones. We provide visibility controls (public/private) to help you manage who can access your information, but the ultimate decision about what to share remains with you.

9. Geolocation & Scan Data

9.1 IP-Based Location Data

When your QR tag is scanned, Helptag automatically captures the IP address of the scanning device. We use this IP address to derive an approximate geographic location (typically city or region level) and to classify the scan as originating from a known geographic area. This information is made available to you — the QR tag owner — as part of your scan log and notification system.

9.2 No GPS Tracking of Scanners

Helptag does not request or collect GPS coordinates from anyone who scans a QR tag. IP-based geolocation is approximate and may not accurately reflect the scanner's physical location. We do not track individuals who scan QR tags beyond the information captured in the scan log.

9.3 Owner Notifications

You may opt in to receive notifications — via email or in-app alerts — each time your QR tag is scanned. These notifications include the approximate time of scan, device type, and geographic region derived from IP. You may manage your notification preferences at any time from your account settings.

9.4 Registered vs. Anonymous Scanners

If your QR tag is scanned by an anonymous visitor (not logged in), we do not share any personally identifying information about that individual with you. If your QR tag is scanned by a registered Helptag user, that user's account identifier may be recorded in the scan log for accountability purposes and may be visible to you as the tag owner.

9.5 Scan Data Retention

Scan log records are retained for up to 12 months from the date of each scan. You may view your full scan history from your account dashboard. After the retention period, scan data is deleted from active systems in accordance with our data retention schedule.

10. Payment & Billing (Razorpay)

10.1 Payment Processor

All payments on Helptag are processed through Razorpay, a PCI-DSS compliant third-party payment gateway authorized by the Reserve Bank of India. By completing a purchase, you agree to Razorpay's Terms of Service and Privacy Policy, which govern how your payment data is handled. Helptag does not store your card numbers, bank account details, UPI credentials, or other sensitive payment information on our servers.

10.2 Recurring Subscription Billing

Subscription plans are billed on a recurring basis — monthly or annually, as selected by you — until you cancel. By subscribing, you authorize Helptag and Razorpay to charge your selected payment method automatically at the start of each billing cycle. You are responsible for ensuring your payment method remains valid and up to date.

10.3 One-Time Credit Purchases

Credit packs purchased outside of a subscription plan are processed as one-time charges. Credits are issued to your account immediately upon payment confirmation. One-time credit purchases are non-refundable once issued, as described in our Refund Policy.

10.4 Failed Payments

If a scheduled subscription payment fails — due to insufficient funds, expired card, or other reasons — Helptag will notify you via the email address on file and may attempt up to two (2) additional retries. Persistent payment failure may result in plan suspension and deactivation of associated QR tags until payment is resolved.

10.5 Taxes & GST

Prices displayed on the platform may or may not include applicable taxes. The final charge at checkout will reflect all applicable Goods and Services Tax (GST) and any other statutory levies required under Indian law. You are responsible for any additional local taxes applicable in your jurisdiction.

10.6 Currency

All transactions are denominated in Indian Rupees (INR) unless otherwise explicitly stated. For users transacting from outside India, your bank or payment provider may apply additional currency conversion fees, for which Helptag accepts no responsibility.

11. Physical Tag Orders

11.1 Physical Products

Helptag may offer physical products including QR stickers, metal tags, silicone wristbands, luggage tags, and related accessories. All physical product sales are subject to the terms presented at checkout and our Refund Policy.

11.2 Shipping & Delivery

Estimated delivery timelines and shipping charges are presented at checkout and may vary based on your delivery location and the courier partner used. Helptag endeavors to dispatch orders within the timelines stated on the product page. We are not responsible for delays caused by courier partners, natural events, customs clearance, or incorrect delivery addresses.

11.3 Order Accuracy

You are responsible for ensuring that the delivery address, selected product variants, and order details are correct at the time of checkout. Helptag cannot reroute, modify, or be held liable for failed deliveries due to incorrect information. Contact us as soon as possible if you discover an error in your order after placement.

11.4 Customized Physical Products

Products that are personalized or customized with your QR code, name, or other bespoke information cannot be cancelled, returned, or refunded once the order enters production. Please review all customization details carefully before confirming your order.

12. Service Availability

12.1 Uptime & Maintenance

Helptag aims to maintain high availability of its Services. We may, however, conduct scheduled maintenance that could result in temporary service interruptions. Where feasible, we will provide advance notice of planned maintenance. We also reserve the right to perform emergency maintenance at any time without prior notice.

12.2 Feature Modifications

Helptag reserves the right to modify, add, or remove platform features at any time and at our sole discretion. We will endeavor to communicate significant feature changes in advance via in-app notices or email, but are not obligated to do so.

12.3 Beta Features

Helptag may offer beta or preview features that are not yet fully released. These features are provided "as is" with no guarantees of availability, accuracy, or continued support. We may discontinue any beta feature at any time without notice or liability.

12.4 Force Majeure

Helptag shall not be liable for any failure or delay in the provision of Services caused by events beyond our reasonable control, including but not limited to acts of God, floods, earthquakes, epidemics, wars, government orders, civil unrest, power grid failures, internet backbone disruptions, or failures of third-party infrastructure and cloud service providers.

13. Account Suspension & Termination

13.1 Termination by You

You may deactivate or delete your account at any time through the Settings section of your account dashboard. Upon deletion, your personal data and QR tag content will be handled in accordance with our Privacy Policy. Active QR tags associated with your account will be deactivated and rendered unscannable.

13.2 Termination by Helptag

Helptag reserves the right to suspend, restrict, or permanently terminate your account at our sole discretion and without prior notice if we determine that you have:

  • Violated any provision of these Terms
  • Engaged in fraudulent, deceptive, or abusive activity
  • Created accounts for the purpose of harassment or harm
  • Provided false registration information
  • Failed to resolve a payment dispute within a reasonable time
  • Posed a risk to the security, reputation, or operations of the platform or other users

We will attempt to notify you of the reason for termination where legally permissible, unless doing so would impair an investigation or violate applicable law.

13.3 Effect of Termination

Upon termination of your account — by you or by Helptag — your right to access and use the Services ceases immediately. All active QR tags will be deactivated. Any unused QR credits will be forfeited without compensation unless Helptag in its sole discretion determines otherwise. Provisions of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification) shall remain in effect.

14. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Helptag expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
  • Warranties that the Services will meet your requirements or expectations
  • Warranties that the Services will be uninterrupted, timely, secure, or free from errors
  • Warranties that any content stored, transmitted, or accessed through the Services will be accurate or complete
  • Warranties that the QR tags will function in emergency situations or be scanned by any individual
  • Warranties arising out of course of dealing, usage of trade, or any other custom or practice

Some jurisdictions do not allow the exclusion of implied warranties; in such cases, the above exclusions apply to the maximum extent permitted by applicable law.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Helptag and its officers, directors, employees, contractors, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind arising from or related to:

  • Your use of or inability to use the Services
  • Any failure of a QR tag to be scanned or acted upon in an emergency
  • Unauthorized access to or alteration of your account or QR tag content
  • Any reliance on information stored in a QR tag by any person
  • Loss of data, revenue, profits, business, or goodwill
  • Any service interruption, outage, or discontinuation

In no event shall Helptag's total aggregate liability to you for all claims arising out of or related to these Terms or the Services exceed the greater of: (a) the total amount paid by you to Helptag in the three (3) calendar months immediately preceding the event giving rise to the claim, or (b) INR 500.

These limitations apply regardless of the legal theory upon which the claim is based — whether in contract, tort, negligence, strict liability, or otherwise — and even if Helptag has been advised of the possibility of such damages.

16. Indemnification

You agree to defend, indemnify, and hold harmless Helptag, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of any provision of these Terms
  • Your access to or use of the Services, including any data you submit, store, or transmit
  • Your violation of any law, regulation, or the rights of any third party (including intellectual property, privacy, and publicity rights)
  • Any claim by a third party that your User Content caused them damage or violated their rights
  • Your inclusion of third-party personal information in a QR tag without proper authorization
  • Any injury, loss, or damage arising from an emergency responder or bystander relying on inaccurate QR tag content that you provided

Helptag reserves the right, at its own expense, to assume exclusive defense and control of any matter for which you are required to indemnify Helptag, and you agree to cooperate with our defense of such claims.

17. Changes to These Terms

Helptag may update, modify, or replace these Terms at any time. When we do, we will revise the "Effective Date" at the top of this page and, for material changes, will provide advance notice of at least 14 days via email to your registered address or via a prominent in-app notice.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services and may request account deletion.

We encourage you to review these Terms periodically. Minor changes (such as typographical corrections or clarifications that do not alter the substance of the Terms) may be made without specific notice.

18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions or choice of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India. You hereby irrevocably submit to the personal jurisdiction of such courts for this purpose.

If you are a consumer, you may also have the right to bring a claim under the Consumer Protection Act, 2019 (India), or any other applicable consumer protection laws in your jurisdiction. These Terms do not limit any non-waivable rights you may have under applicable consumer protection law.

Before initiating formal legal proceedings, we encourage you to contact us at hello@helptag.org so we can attempt to resolve the dispute informally.
